As a&nbsp;Corporate Governance, you will be responsible for more than just "checking boxes." You will act as the bridge between the Board of Directors, the executive team, and regulatory bodies. You will oversee the legal paperwork for investment operations while building a robust governance framework that ensures transparency, accountability, and ethical growth.
Responsibilities:
1. Corporate Governance &amp; Board Support
<ul>

Board Stewardship:&nbsp;Organize and facilitate Board and Committee meetings, including drafting agendas, preparing board packs, and ensuring accurate minutes are recorded and archived.

<li>
Policy Architecture:&nbsp;Design and implement high-level corporate policies, including the Code of Conduct, Conflict of Interest policies, and Whistleblower frameworks.
</li>
<li>
Shareholder Relations:&nbsp;Manage communications with shareholders and ensure all statutory disclosures and annual reports are transparent and compliant with the Companies Act.

2. Regulatory Compliance

Investment Operations:&nbsp;Oversee the maintenance of&nbsp;ARN (AMFI Registration Number)&nbsp;and&nbsp;RIA compliance, ensuring all investment operations follow SEBI and other regulatory mandates.

<li>
Filings &amp; Submissions:&nbsp;Manage all routine and ad-hoc filings with the ROC (Registrar of Companies), RBI, and other government bodies.
</li>
<li>
Audit Management:&nbsp;Lead internal and external compliance audits, ensuring that any gaps in operational efficiency or legal adherence are remediated immediately.

3. Operational Oversight
<ul>
<li>Legal Documentation:&nbsp;Draft, review, and organize complex agreements, contracts, and legal documents related to vendor management and investor coordination.</li>
<li>
ESOP Maintenance:&nbsp;Monitor and update the company’s Employee Stock Ownership Plan (ESOP) documentation, ensuring it aligns with legal requirements.
</li>
<li>
Risk Mitigation:&nbsp;Proactively identify emerging regulatory risks in the fintech space and advise the leadership team on mitigation strategies.
</li>
</ul>
Core Competencies:
<ul>
<li>Deep knowledge of&nbsp;Corporate Governance&nbsp;principles and the Indian Companies Act.</li>
<li>
Familiarity with investment regulations (SEBI, RIA, AMFI).
</li>
<li>
Exceptional organizational and multitasking abilities.
</li>
<li>
High level of integrity, diplomacy in dealing with senior stakeholders, and a "no task is too big" attitude common in startup environments.
</li>
</ul>
Specific criteria required for the applicants:

<li>CS degree would be preffered</li>
<li>4-6 years of experience in the relevant field.</li>
<li>Good communication skills</li>
<li>Strong analytical, problem-solving, management and organizational skills</li>
